ARTICLE I - Name
The name of this association shall be known as the "San Antonio Human Resource Management Association" hereinafter referred to as the Association.

ARTICLE II - Purpose
The purpose of this Association is to provide a means for the exchange of ideas and the discussion of problems common to Human Resource administration; to promote professional relationships; to encourage and facilitate the operating effectiveness of Human Resource administrators of the San Antonio area.

ARTICLE III - Membership
The membership of this Association shall be open to any persons who are actively engaged in and who have the responsibility in their organization for one or more functions of Human Resource administration or who hold the position of faculty member as an assistant, associate or full professional rank in Human Resource administration/Human Resource Management or any of its specialized phases in an accredited school of higher learning or attorneys who represent only management interests in human resources.

ARTICLE IV - Governing Body
The governing body of the Association shall be the Executive Board consisting of a President, President-Elect, Vice President-Student Chapters, Vice President-Membership, Vice President -Programs, Vice President-Research and Development, Vice President-Public Relations, Secretary, Treasurer and Immediate Past President.

ARTICLE V - Affiliations
This Association shall be and is hereby affiliated with the Society for Human Resource Management.

ARTICLE VI - Fiscal Year
The fiscal year of the Association shall be the same as a calendar year.

ARTICLE VII - Statement of Ethics
SECTION 1. Each member shall honor and respect the purpose of this Association and shall pledge himself to its support; the interchange of ideas, information, and the discussion of problems shall be viewed as privileged communication or confidential information and not regarded as any reflection of the official attitude or opinion of any member employer.

SECTION 2. The Association shall not be represented as advocating or endorsing any issue unless approved by the Executive Committee.

ARTICLE VIII - Amendments
The Constitution and By-Laws may be amended or repealed by a two-thirds (2/3) vote of the members present at any regular or special meeting of the Association, provided that a written notice of the proposed repeal of amendments has been given to the president and a copy thereof filed with the Secretary, who shall transmit same by mail, with notice of meeting, to each member of the Association at his last known business address, at least ten (10) days prior to the meeting.

ARTICLE IX - Adoption
The Constitution shall be adopted at a regular or special meeting of the general membership designated by the President, after a copy of this Constitution has been mailed to the last known business address of each member of the Association. Adoption shall be by two-thirds (2/3) vote of the members present and voting at this meeting. This Constitution shall become effective in its entirety by March 9, 1976.
